1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," "User") and Trados LLC ("Trados," "we," "us," "our"), a company registered in the State of California, United States.

By creating an account, accessing, or using the Trados platform at trados.app, trados.co, or any company subdomain (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you may not use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Trados is a multi-tenant SaaS platform designed for managing commodity trade operations. The Service provides:

  • User verification through a 3-tier system (Bronze, Silver, Gold) with progressive KYC/KYB checks
  • LOI verification using AI-powered document analysis with 40+ automated checks and fraud detection
  • Quote process management through a structured multi-step workflow from LOI to delivery
  • Deals marketplace where verified sellers post commodity opportunities for buyers
  • White-label company instances where trading companies operate their own branded platform
  • Communication tools including support tickets, announcements, invitations, and referral tracking
  • AI-powered features including document analysis, chatbot assistance, and multi-language translation

2.1 What Trados Is NOT

  • Trados is not a party to any commodity trade transaction conducted through the platform
  • Trados does not guarantee the outcome, success, or completion of any deal
  • Trados does not provide legal, financial, investment, or professional advice
  • Trados does not verify the quality, quantity, or existence of commodities listed on the platform
  • Trados does not act as an escrow service, bank, or financial institution
  • Trados does not guarantee the accuracy of AI-generated LOI verification results

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Represent a legitimate business entity (for Silver and Gold tier verification)
  • Provide accurate, current, and complete information during registration and verification
  • Have the legal authority to enter into these Terms
  • Not have been previously suspended or removed from the platform

4. Account Registration and Security

4.1 Account Creation

To access the Service, you must create an account by providing a valid email address and password, or by using Google Sign-In where available. You must select an account type (Buyer, Seller, Buyer/Seller, or Broker) that accurately reflects your role.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately at [email protected] if you suspect unauthorized access
  • Using a strong, unique password

We will never ask you for your password. We are not liable for losses arising from unauthorized use of your account.

4.3 Account Accuracy

You agree to provide and maintain accurate, current, and complete account information. Providing false or misleading information during registration or verification is grounds for immediate account termination.

4.4 One Account Per Person

Each individual may maintain only one account on the platform per company. You may request access to multiple companies through the Global User Access feature, subject to each company admin's approval.

5. Tier Verification

5.1 Verification Process

Trados operates a 3-tier progressive verification system:

  • Bronze: Basic identity verification (name, email, country, phone, business description)
  • Silver: Business verification (company legal name, incorporation details, company type, address)
  • Gold: Full KYC/KYB verification (government-issued ID, selfie with ID, company registration documents, tax documents, proof of address)

Tiers must be completed in order. Each tier submission is reviewed by a company admin or platform admin.

5.2 Verification Decisions

We (or the applicable company admin) reserve the right to approve or reject any tier verification submission at our sole discretion. Rejection reasons will be provided, and you may resubmit with corrections.

5.3 Verification Limitations

Tier verification confirms that a user has submitted the required information and documentation. It does not constitute:

  • A guarantee of the user's trustworthiness, financial capacity, or business legitimacy
  • An endorsement of any trade the user proposes or participates in
  • A substitute for your own due diligence

You remain responsible for conducting your own verification of any counterparty before entering into a transaction.

5.4 Document Handling

Verification documents are stored securely on encrypted cloud storage. Access to your documents is limited to authorized administrators for the purpose of verification review. See our Privacy Policy for details on document retention.

6. LOI Verification Service

6.1 Service Description

The LOI Verification service uses AI-powered analysis to examine Letter of Intent documents for completeness, authenticity, and potential fraud indicators. The service performs 40+ automated checks and assigns a compliance grade from A (Excellent) to E (Critical).

6.2 Disclaimer

The LOI Verification service is an analytical tool, not a guarantee. Specifically:
  • AI analysis results are probabilistic assessments, not definitive determinations
  • A high grade (A or B) does not guarantee a document is authentic or that a deal will succeed
  • A low grade (D or E) does not definitively prove fraud
  • Results should be used to supplement — not replace — your own professional due diligence, legal review, and business judgment
  • We are not responsible for any decisions made or actions taken based on verification results
  • AI models may produce errors, misinterpretations, or incomplete analyses

6.3 AI Intelligence

The AI Intelligence analysis (available to paid subscribers) provides additional AI-generated assessments including red flag detection, risk scoring, and recommendations. These are AI-generated opinions and should be treated as one input among many in your decision-making process.

6.4 Public Verification

The public LOI verification tool allows document analysis without an account. Public verification results are not saved to any account and no verification history is maintained for unauthenticated users.

7. Quote Process and Deals

7.1 Quote Process

The quote process is a structured workflow that facilitates commodity trade transactions through defined steps (LOI, NDA, ICPO, POP, Draft SPA, Final SPA, Payment Instrument, Delivery & Closing). Company admins may customize these steps.

7.2 User Responsibility

All transactions conducted through Trados are between the participating parties (buyers, sellers, and brokers). Trados facilitates the process but:

  • Is not responsible for the performance, quality, or delivery of any commodity
  • Does not guarantee payment or financial performance of any party
  • Is not liable for losses arising from failed, delayed, or disputed transactions
  • Does not mediate disputes between parties

7.3 Deals Marketplace

Deals posted on the marketplace represent offers made by sellers or company admins. Trados does not verify the accuracy of deal listings, including product descriptions, pricing, quantities, or availability. Buyers are responsible for conducting their own due diligence on any deal.

8. White-Label Company Services

8.1 Company Registration

Companies may register for a white-label instance of Trados with a custom subdomain (yourcompany.trados.app). Company registration is subject to platform admin approval.

8.2 Company Admin Responsibilities

Company admins are responsible for:

  • Managing their users in compliance with applicable laws
  • Reviewing and approving tier verification submissions
  • Ensuring accurate and lawful use of the platform within their company instance
  • Maintaining appropriate data handling practices for their users
  • Complying with all applicable data protection and privacy laws

8.3 Data Isolation

Each company instance operates with complete data isolation. Company admins cannot access data from other companies. Users of one company cannot see or interact with data from another company.

8.4 Subdomain

Your company subdomain is provided as part of the Service. Trados reserves the right to reclaim subdomains that violate these Terms, infringe on trademarks, or are inactive for extended periods.

9. Subscriptions and Payments

9.1 Free and Paid Plans

Trados offers both free and paid subscription plans. Free plans provide basic access to the platform. Paid plans unlock additional features including AI Intelligence analysis, advanced deal tools, and priority support.

9.2 Pricing

Current pricing is displayed on our Pricing page. We reserve the right to change pricing at any time. Price changes will not affect your current billing period.

  • Starter Plan: $14.99/month
  • Professional Plan: $24.99/month
  • Enterprise Plan: $49.99/month

Company (SaaS) plans are priced based on user count, feature requirements, and billing preference. Contact sales for details.

9.3 Free Trial

New subscribers may be eligible for a free trial period (default: 14 days). During the trial, you have full access to the plan's features. If you do not cancel before the trial ends, you will be charged for the first billing period.

9.4 Payment Processing

All payments are processed through Stripe, a PCI DSS-compliant payment processor. Trados does not store your credit card information. By subscribing, you agree to Stripe's terms of service.

9.5 Billing and Renewal

Subscriptions automatically renew at the end of each billing period (monthly or yearly) unless cancelled. You will be charged on the same date each billing cycle.

9.6 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • You retain access to paid features until the period expires
  • After expiration, your account reverts to the free plan
  • No partial refunds are provided for unused portions of a billing period

9.7 Coupons

Trados may offer coupon codes for discounts or promotional access. Coupons are subject to their specific terms, including expiration dates, usage limits, and applicable plans. Coupons cannot be combined unless explicitly stated.

9.8 Refunds

Refund requests are evaluated on a case-by-case basis. Contact [email protected] within 14 days of a charge to request a refund. We are not obligated to provide refunds but will consider requests made in good faith.

10. Acceptable Use

10.1 You Agree To:

  • Provide accurate and truthful information at all times
  • Use the platform for legitimate commodity trade purposes
  • Respect the rights and privacy of other users
  • Comply with all applicable laws and regulations in your jurisdiction
  • Report suspected fraud, abuse, or security vulnerabilities

10.2 You Agree NOT To:

  • Submit false, fraudulent, or misleading information, documents, or mandates
  • Upload forged, altered, or fabricated Letters of Intent or trade documents
  • Misrepresent your identity, company, authority, or capabilities
  • Use the platform to deceive, defraud, or harm other users
  • Circumvent the verification process or provide false verification documents
  • Bypass or manipulate the quote process or deal workflow
  • Attempt to access data belonging to other companies or users
  • Interfere with the platform's security, operation, or performance
  • Scrape, crawl, or automated extraction of data from the platform
  • Use the platform for money laundering, terrorist financing, or sanctioned activities
  • Harass, threaten, or abuse other users or platform staff
  • Resell, sublicense, or redistribute access to the Service without authorization
  • Send spam, unsolicited messages, or bulk communications outside the invitation system

10.3 Consequences

Violation of these rules may result in:

  • Warning or temporary account suspension
  • Permanent account termination
  • Removal of content or deals
  • Reporting to law enforcement
  • Legal action

11. Intellectual Property

11.1 Trados Property

The Trados platform, including its software, design, logos, trademarks, and documentation, is owned by Trados LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or create derivative works based on the Trados platform without our written consent.

11.2 Your Content

You retain ownership of all content you upload to the platform, including documents, profile information, and deal listings. By uploading content, you grant Trados a limited license to store, process, display, and transmit your content as necessary to provide the Service.

You represent that you have the right to upload all content you submit and that your content does not infringe on the intellectual property rights of any third party.

11.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Trados the right to use that feedback without restriction or compensation.

13. Indemnification

You agree to indemnify, defend, and hold harmless Trados, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights
  • Any content you upload or submit to the platform
  • Any transaction you conduct through the platform

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing a formal dispute, you agree to contact us at [email protected] and attempt to resolve the issue informally within 30 days.

14.3 Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Los Angeles, California.

14.4 Class Action Waiver

You agree that disputes will be resolved on an individual basis and not through class actions, consolidated actions, or representative actions. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14.5 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15. Termination

15.1 By You

You may close your account at any time by contacting [email protected]. Upon account closure:

  • Your access to the Service will be terminated
  • Active subscriptions will not be refunded for unused portions
  • Your data will be handled in accordance with our Privacy Policy and data retention schedule

15.2 By Trados

We may suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms or our Acceptable Use Policy
  • Fraudulent, illegal, or harmful activity
  • Extended inactivity (12+ months)
  • Non-payment of subscription fees
  • Any reason at our sole discretion

15.3 Effect of Termination

Upon termination:

  • Your right to access the Service immediately ceases
  • We may delete your data according to our retention schedule
  • Sections that by their nature should survive termination will survive, including: Limitation of Liability, Indemnification, Dispute Resolution, and Intellectual Property

16. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

  • We will update the "Last Updated" date at the top of these Terms
  • We will notify registered users via email or platform notification
  • Continued use of the Service after the effective date of changes constitutes acceptance

If you disagree with the updated Terms, you must stop using the Service and close your account.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trados regarding the Service.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

18.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

18.5 Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet service disruptions.

18.6 Notices

Notices to you will be sent to the email address associated with your account. Notices to Trados should be sent to [email protected].
